What am I purchasing?

Subscription Services. Pricefx’s SaaS products (referred to here as the “Subscription Services”) are a cloud-based multi-tenant solution. That means that the Subscription Services are provided to all our customers on a common architecture, code base, and infrastructure. Because of the multi-tenant nature of the Subscription Services, we cannot provide custom service offerings to any customer, but we do offer several types of products, specialized configurations, ‘private’ hosting, and geographic hosting locations from which you can choose.

Professional Services. To supplement the Subscription Services, Pricefx offers a variety of professional services, including ongoing support and maintenance services. Pricefx’s world-class partner ecosystem also provides supplementary professional services, including services required to implement and configure the Subscription Services. Except as noted otherwise, these FAQs focus on the Subscription Services. Please contact your Account Executive (if you are a prospective customer) or Customer Success representative (if you are an existing customer) if you have questions concerning professional services.

Pricing. All subscription-related fees will be listed in an Order Form. As is typical for similar products, these fees are paid annually in advance. Our pricing is based on volume purchased, which we measure based on your revenue and geographical and business-unit use of the Subscription Services (rather than seats or data space). Fees for professional services (e.g., implementation) are separate and will be set forth on the applicable statement(s) of work.

How is Pricefx’s SaaS Agreement structured?

To subscribe to Subscription Services, you’ll do so under a standard SaaS agreement (referred to here as the “Agreement”). The Agreement comprises a few documents:

  • Ordering Documents:  When you purchase Subscription Services and/or professional services from Pricefx, you will first need to sign the relevant ordering document:
    • For Subscription Services – The Order Form (“OF”) contains the specifics of the Subscription Services to which you are subscribing, including in-scope capabilities and pricing. Your Pricefx Account Executive (if you are a prospective customer) or Customer Success representative (if you are an existing customer) will provide this to you as part of the commercial discussions.
    • For Professional Services – The Statement of Work (“SOW”) is the professional services equivalent of the OF. It describes the scope of those professional services and the fees and other terms applicable to those services. If you are purchasing professional services from one of our third-party partners, your SOW governing those services will be with that partner, not Pricefx, and will not form part of the “Agreement.”
  • Legal Terms:  The ordering documents are governed by legal terms, which consist of our general SaaS terms (“Subscription Terms”) and, depending on the nature of your subscription, supplementary terms (“Product-Specific Terms”). The Subscription Terms apply to all subscriptions and contain the general legal terms governing our relationship, including access rights, data protection obligations, reps and warranties, intellectual property terms, and indemnification and liability terms. The Product-Specific Terms apply only to certain Subscription Services or commercial offerings (as indicated in the Product-Specific Terms). Both documents, which you can find above on this page, are incorporated by reference into the OF / SOW.
  • Other Documents:  In the spirit of simplicity, our default Agreement includes only the above-listed documents. However, from time to time deal specifics may necessitate additional documents. Pricefx’s Sales, Customer Success, and/or Legal team will work with you to identify and incorporate any such documents.

When you are ready to purchase a Pricefx product or service, we will work with you to confirm the final, execution-ready version of the OF. To make things easy, we can set up the OF for electronic execution via DocuSign. If you require or prefer that we use an alternative method, let us know – we’re flexible.

Why do you require that we agree to online, non-negotiable terms?

Our Business and Values: We know that everyone likes their own template best. However, Pricefx requires all customers—irrespective of contract or customer size—to use our terms. Not to worry, though, as we trust that you will find our Agreement to be both well-suited to the unique features of our business and aligned with our values of being Fast, Flexible, Friendly, and Fair.

Getting Customers to Value Faster: We’ve all been there: the price is agreed, the implementation is scoped, but the project can’t start because there are still discussions around “legal terms.” That’s why Pricefx has streamlined its paper process. By applying consistent, balanced, and fair terms across our customer base, we hope to avoid protracted discussions, allowing both sides to focus on getting up and running—and seeing value—as quickly as possible.

Other Benefits: We regularly review the Agreement to reduce friction points and ensure we remain in line with market practices. This has allowed us to provide a set of better-than-most positions, including:

  • Global: One form for all regions. Want to add geographic scope? No Agreement revisions required.
  • Readable / Short: User-friendly organization with clear language. Minimal legalese.
  • No Unnecessary Concepts: If it doesn’t apply to our relationship, it’s not in our template.
  • No License Seats: Unlimited use within business-focused limitations (revenue, geography, business units).
  • Optimized Indemnification and Liability: No customer indemnification obligations. Fair, mutual limitations of liability with customary carve-outs. Recognizing the seriousness of data protection, we incorporate a “supercap” for security-related liability by default.
  • Service Levels:“Three 9s” uptime commitment and fair service level remedies.
  • AI: Terms that allow you to feel comfortable that you’re making the most of our cutting-edge artificial intelligence capabilities without undue risk to your data.
Can we negotiate the Agreement?

We spend considerable time and effort to ensure our Agreement remains balanced and suitable for our products and services. We therefore cannot accept material revisions to the Agreement. If there are specific topics you wish to discuss, contact your Account Executive (if you are a prospective customer) or Customer Success representative (if you are an existing customer), who can help connect you to the relevant people within Pricefx.

Nevertheless, to make the process efficient, we want you to be aware that—as is typical for SaaS providers—we are unable to accommodate the following asks:

  • Non-IP Indemnities: Our template includes a one-way (uncapped) IP indemnity in our customers’ favor, which covers the most prevalent software-related risk.
  • Unlimited Liability: While our template carves out limited situations where liability is not limited, we cannot agree to expand the scope of these carve-outs. Specifically, we will not accept proposals for unlimited liability arising out of data protection issues. As noted above, we have adopted a market-aligned supercap to address these issues.
  • Modifications to Incorporated Terms: We maintain certain terms, including the Product-Specific Terms and our “standard” SLA and support services, separately to ensure we can apply consistent terms to our entire customer base and can make (mutually beneficial) updates as needed to reflect important changes, including evolving market practice or updates to our product offerings / technology. As such, we cannot make changes to these terms.
  • “Work for Hire” / IP Assignment: As noted above, our Services are “out-of-the-box” (subject to configuration and implementation). The IP in our Services is also our most important asset. We therefore cannot agree to language that purports to assign to our customers any IP in or related to the Services.
